MINUTES OF A SPECIAL MEETING
ARIZONA BOARD OF REGENTS
March 29, 2002
A Special Meeting of the Arizona Board of Regents was held March 29, 2002, in the Gold Room of the Memorial Union at Arizona State University, Tempe, Arizona. Several Board members participated telephonically. President McKay called the meeting to order at 10:05 a.m.

Also present were: Dr. Michael Crow, Executive Director Linda Blessing, Secretary to the Board Judy Garza, Board Counsel Joel Sideman, and Ms. Cathy McGonigle.
President McKay thanked the Presidential Search Committee, composed of 35 very dedicated people who spent many hours reviewing material and giving of their time and talent to make the search process work. She acknowledged former Regent Rudy Campbell who was present and who had served on the search committee.
President McKay also acknowledged Regent Herstam, who served as a member of the search committee and provided much needed support and guidance throughout the process, and other members of the Board who had come together in support of the process and Dr. Crow’s appointment. President McKay also thanked Regent Don Ulrich for his tremendous leadership over the last ten months to bring the process to a new era for ASU and the State of Arizona.
President McKay also thanked Dr. Lattie Coor for the dedication he has shown over the past decade and his tremendous contributions to ASU and to higher education throughout the state.
Upon motion of Regent Ulrich, seconded by Regent Herstam, the Board authorized the appointment of Dr. Michael M. Crow as President of Arizona State University and voted unanimously to offer him a multiple-year employment contract according to the terms summarized below.
The appointment period will be July 1, 2002, through June 30, 2005. (It is anticipated Dr. Crow will carry out responsibilities on a part-time basis, beginning July 1, 2002, and will assume his position on a full-time basis by September 1, 2002). He will receive an annual salary of $390,000 plus an annual housing allowance of $40,000, contribution to retirement program of $30,000, annual automobile allowance of $8394 and the same fringe benefits as all other ASU administrators.
Dr. Crow will receive reimbursement for all business-related travel expenses at the rate applicable for all ASU employees and a one-time payment for moving and travel expenses. He will receive an appointment as a tenured professor in the ASU College of Public Programs. The contract will include provisions relating to termination of employment, including payment of liquidated damages, and will incorporate provisions regarding annual performance assessment and compensation review.
In addition to the compensation provided through public fund sources, the Arizona State University Foundation has agreed to provide a supplemental life insurance policy for Dr. Crow, a tuition benefit for Dr. Crow’s children, and a security system for Dr. Crow’s personal residence.
President McKay introduced Dr. Crow, who thanked the Regents for selecting him. Dr. Crow introduced his family and said he is honored and humbled to be joining the Regents and the ASU faculty and staff. President McKay announced that Dr. Crow and members of the Board would be available to respond to media inquiries in the Alumni Lounge following the Board meeting.
